1. Agreement to Terms

These Terms govern access to the Navidi.ai Services operated by Navidi Investments. By using the Services you ("Client") agree to these Terms. If you are accepting on behalf of a business, you represent that you are authorized to bind it.

2. The Services

Navidi.ai is a white-label AI agent and marketing-analytics platform. It lets Clients operate AI assistants, connect advertising and CRM accounts, measure performance (cost-per-lead, ROAS), and send conversion signals to advertising platforms where configured. Features may change over time.

3. Accounts and Access

You are responsible for the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information. We may suspend or terminate access for violations of these Terms or to protect the Services.

4. Client Data and Connected Accounts

"Client Data" means data you upload or that we access on your behalf. You own your Client Data. You grant Navidi a limited license to host, process, and transmit it solely to provide the Services (including matching sales to advertising and sending hashed conversion data to platforms you connect). You represent that you have all rights, permissions, and consents necessary to provide Client Data and to have it shared with advertising platforms. You are responsible for your compliance with laws applicable to your business (including health, advertising, and consumer-protection laws) and will not transmit data the Services are not intended to handle.

5. Acceptable Use

You will not use the Services unlawfully; attempt unauthorized access; disrupt or interfere with the Services; reverse engineer except as permitted by law; send unlawful or deceptive communications; or misuse the advertising-platform integrations.

6. Third-Party Platforms

Integrations with third-party platforms (Google, Meta, CRM tools, AI providers) are subject to those platforms' own terms. Navidi is not responsible for third-party platforms or for changes they make.

7. Fees

Fees are as described in your order, plan, or in-product billing. Fees are non-refundable unless stated otherwise. Pricing may change prospectively with notice.

8. Intellectual Property

The Services (excluding Client Data) are owned by Navidi and its licensors. You receive a limited, non-exclusive right to use the Services during your subscription. Outputs may be used for your business purposes, subject to these Terms and any third-party rights.

9. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Navidi does not warrant uninterrupted or error-free service, or that measurements, attributions, or AI outputs are accurate. Marketing and conversion data are estimates and should not be the sole basis for financial decisions.

11. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Navidi's total liability will not exceed the amounts paid to Navidi in the twelve (12) months before the claim.

12. Indemnification

You will indemnify and hold Navidi harmless from claims arising from your Client Data, your use of the Services, your violation of these Terms, or your violation of law or third-party rights.

13. Term and Termination

These Terms apply while you use the Services. Either party may terminate per your plan or for material breach. On termination, your right to use the Services ends and any remaining Client Data is handled in accordance with the Privacy Policy.

14. Changes to These Terms

We may update these Terms. Material changes will be posted with a new "Last updated" date; continued use of the Services constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Oregon. The exclusive jurisdiction for disputes is the courts located in Washington County, Oregon, except where applicable law provides otherwise.
